  16.      Atlanta, GA 17 April 1996 -- Hayes Microcomputer Products, Inc.
  17. announced today that it has emerged from Chapter 11, having paid all
  18. creditors in full plus interest.  To fully fund its court-approved Plan
  19. of Reorganization, Hayes closed several equity investment transactions
  20. yesterday totaling $35 million for a 49% stake in the company, and
  21. finalized a $70 million line of credit with the CIT Group/Credit
  22. Finance, on which the company will draw $14 million initially.

  24.      "This is a great day for our company, our customers, our suppliers,
  25. and our employees!  We kept our word and did what we had to do to pay
  26. our creditors in full," said Dennis C. Hayes, Chairman of Hayes.  "We
  27. have closed the book on Chapter 11 and have our sights focused straight
  28. ahead.  Our plan is to launch an initial public offering within two
  29. years," said Hayes.

  31.      Last week, Hayes announced its consolidated first quarter 1996
  32. financial results, reporting operating income of $6.0 million on $77.2
  33. million in sales for the quarter.  Compared with the same quarter in
  34. 1995, sales increased 16.4% while operating income increased 251%.
  35. Including a one-time gain from the sale of surplus land owned by the
  36. company, net income for the quarter was $6.9 million versus a loss of
  37. $1.3 million the previous year.

  39.      Hayes has rebuilt its core management team in recent months with
  40. the addition of a new Chief Financial Officer, James A. Jones, a new
  41. Chief Technical Officer, Dr. Alan Clark, and a new Vice President of
  42. Sales, Raymond Malcoun.  The company is continuing its efforts to
  43. recruit a new Vice President of Marketing.  Hayes will soon announce the
  44. appointment of its new President/CEO who is expected to join the company
  45. on 1 May 1996. Dennis C. Hayes, founder of Hayes, will serve as Chairman
  46. of the Board.

  48.      Hayes originally filed for Chapter 11 protection on 15 November
  49. 1994.  Its Plan of Reorganization was filed on 15 May 1995 and its
  50. Disclosure Statement was approved on 10 July 1995. In completing its own
  51. Plan, Hayes fought off two unsolicited acquisition attempts from
  52. competitors Diamond Multimedia and U.S. Robotics.  The Hayes Plan was
  53. confirmed by Judge Hugh Robinson on 8 March 1996 after nearly three
  54. months of confirmation proceedings.  In consummating its Plan, Hayes can
  55. now enjoy the benefits of its reorganization efforts free from the
  56. administrative expenses related to court proceedings.
